1. Scope of Services & Limitations

1.1 Software Setup, Customization, & Support

  • Software setup, customization, and support will be provided within the scope of the existing features and capabilities of the deployed solution.
  • Any new feature requests will be communicated to the respective software provider’s development team. However, 1 Cloud Consulting does not control and cannot guarantee feature development or release timelines.

1.2 Additional Work & Charges

  • Support from 1 Cloud Consulting applies only to the initially deployed solution.
  • Any additional work or modifications beyond the agreed-upon scope will be charged separately, based on a mutual agreement between both parties.
  • If the client does not have an active support and maintenance package, remote support will be charged at USD 1000 per support request + applicable taxes.

2. Ownership of Custom Code & Intellectual Property

2.1 1 Cloud Consulting as the Original Author

  • Any custom development, white-label solutions, custom integrations, modifications, or software extensions provided by 1 Cloud Consulting remain the exclusive intellectual property of 1 Cloud Consulting.
  • 1 Cloud Consulting retains full ownership of the source code, software architectures, scripts, APIs, and frameworks developed for any project.

2.2 Limited Usage License for Clients

  • Clients are granted a non-exclusive, non-transferable, and revocable license to use the custom-developed software strictly for internal business operations.
  • This license does not permit:
    • Selling, distributing, sublicensing, or commercially exploiting the software.
    • Sharing the source code, configurations, or proprietary solutions with any third-party consultants, external developers, or competitors of 1 Cloud Consulting.

2.3 Restrictions on Third-Party Engagement

  • Clients are strictly prohibited from engaging any competitor of 1 Cloud Consulting to modify, extend, or maintain any part of the custom-developed solution without prior written approval.
  • If the client engages a competitor of 1 Cloud Consulting, 1 Cloud Consulting reserves the right to immediately revoke all access to the proprietary software, source code, integrations, and related documentation.

3. Handover & Access Control Policies

3.1 Structured Handover Process

  • If the client decides to discontinue services with 1 Cloud Consulting, the handover process will be conducted in an orderly and structured manner based on:
    • The completion of all pending payments and financial obligations.
    • The assignment of a qualified staff member by the client for knowledge transfer.
    • Industry best practices for system transitions to ensure minimal disruptions.
  • Haphazard or immediate handovers will not be performed upon demand from the client. The transition will take place only under proper conditions to ensure security, stability, and operational continuity.

3.2 Payment Completion Requirement

  • All outstanding invoices must be fully settled before any system accesses, documentation, or administrative privileges are handed over.
  • 1 Cloud Consulting reserves the right to withhold administrative access, source code, credentials, and integrations until all financial obligations are cleared.

3.3 Access Revocation & Control

  • If a client terminates their engagement with 1 Cloud Consulting, all rights to proprietary code, integrations, and configurations will be revoked.
  • Clients cannot demand access or control over proprietary solutions, servers, or databases without following the structured handover process.
  • Any unauthorized attempts to bypass security controls, extract data, or modify systems without formal approval will be considered a breach of contract and may result in legal action.

4. Termination & Revocation of License

4.1 Client’s Disassociation & Code Revocation

  • If the client chooses to disassociate 1 Cloud Consulting from its project, the following conditions apply:
    • All rights to use, modify, and distribute the custom-developed software will be immediately revoked.
    • 1 Cloud Consulting reserves the right to withdraw access, disable software functionalities, and terminate all maintenance and support services.
    • Clients must cease all use of proprietary code and software.

4.2 Unauthorized Disclosure & Reverse Engineering

  • Clients must not attempt to reverse-engineer, modify, replicate, or decompile any proprietary software developed by 1 Cloud Consulting.
  • Any such action will result in immediate termination of access, legal action, and financial penalties for breach of contract.

5. Support & Maintenance Policies

5.1 Ongoing Support & Charges

  • Support is available only for the initially deployed solution.
  • Any additional work beyond the agreed-upon scope is subject to additional charges.
  • Remote support is charged at USD 1000 per support request + applicable taxes unless covered by an active support plan.

6. Refund Policy
6.1 No Refunds for Services Rendered
All payments received for software consulting, setup, customization, training, and support services are non-refundable. Any administrative charges will be communicated to the client at the time of cancellation. 1 Cloud Consulting reserves the right to deny further services or take legal action to recover any outstanding charges.

6.2 Zoho Subscription Billing, Discounts, and Minimum Commitment (Partner-Managed Billing)
Where 1 Cloud Consulting facilitates Zoho subscription billing for a client (including monthly invoicing), any discounted pricing, partner concession, or special rate (including but not limited to percentage discounts) is provided conditionally and is based on a minimum 12-month license commitment (typically aligned to Zoho renewal cycles and partner procurement requirements).

If the client elects to discontinue partner-managed billing, de-link the partner association, or move to direct billing with Zoho before completion of the minimum commitment period, the client acknowledges and agrees that:
a) All discounts/concessions applied during the commitment period become immediately reversible and recoverable, and 1 Cloud Consulting may issue an invoice (or billing adjustment) to recover the discount amount already provided for the applicable months.
b) The client will settle such discount recovery invoice within the standard invoice due period stated on the invoice.
c) Any administrative, processing, or cancellation-related charges (if applicable) will be communicated at the time of the request and will be payable by the client.

For avoidance of doubt, discounts are a conditional price concession, not an earned credit, and they remain valid only while the minimum commitment condition is met.

6.3 Zoho Cancellation, Refunds, and Continuity of Service
If a Zoho subscription is prepaid, annualized, or procured through partner channels, any cancellation and/or refund (where applicable) is subject to Zoho’s policies and timelines, and may involve subscription changes that could impact service continuity. 1 Cloud Consulting will coordinate in good faith to minimize disruption; however, uninterrupted service during cancellation/re-subscription transitions cannot be guaranteed where processes are controlled by Zoho or third-party payment verification.


7. Privacy Policy & Communication

7.1 Project Delivery & Communication

  • 1 Cloud Consulting may designate employees, associates, or third-party vendors to deliver projects, process client data, and manage business communications via:
    • WhatsApp, Live Chat, Email, Online Meetings, or Phone.
  • Clients consent to this communication method for project management and service delivery.

8. Legal Compliance & Dispute Resolution

8.1 Jurisdiction & Governing Law

  • These terms and conditions shall be governed by the laws of Dubai, UAE.
  • Any disputes will be resolved through arbitration or legal proceedings in the relevant jurisdiction.

8.2 Right to Audit & Enforcement

  • 1 Cloud Consulting reserves the right to audit client systems to ensure compliance with these terms.
  • Violations will result in immediate suspension of access, legal proceedings, and financial penalties.
